The Subscription shall be renewed every month automatically using your current payment method. We do not provide advance notifications for renewals of the Subscription.

Unpaid Charges

If your payment method is invalid and results in the suspension of our Services, you are responsible for payment of the outstanding Subscription Fees. The reactivation of the Subscription will take place upon successful payment of the Subscription Fees.

Discounts and Offers Promotional

The terms for promotions and discounts are displayed on our Website. After the completion of the promotional period, automatic renewal of the Subscription will occur at the standard rates. There is no
advance notice given for the end of promotions.

CANCELLATION OF SUBSCRIPTION

When you decide to cancel your Subscription, it pertains only to future charges associated with the Subscription.

Upon the cancellation of the Subscription, the following terms shall govern:

a. The Customer can notify us of their intent to cancel the Subscription at any time, however, the cancellation shall take effect upon completion of the ongoing billing period.
b. No refunds of the Subscription Fees paid for the remaining duration of the current billing period shall be issued.
c. The Customer will be eligible for all the Services as per the Subscription Package purchased for the remainder of the billing period.

 LIMITATION OF LIABILITY

IN NO EVENT SHALL XPIXEL FZE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND ALL THIRD-PARTY SERVICE PROVIDERS, BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING ANY THAT MAY RESULT FROM

I. THE ACCURACY, COMPLETENESS, OR CONTENT OF OUR WEBSITE;

AVAILABILITY OF WEBSITE/SERVICES

CUSTOMER’S INTELLECTUAL PROPERTY

As between XPixel FZE and Customer, the Customer shall own all intellectual property pertaining to the Customer’s Content and to any other materials created by Customer, including any designs, images, animations, videos, audio files, fonts, logos, illustrations, compositions, artworks, code, interfaces, text and literary works provided by the Customer. XPixel FZE does not claim ownership rights on the Customer’s content.

 XPIXEL FZE’s INTELLECTUAL PROPERTY

11.1. All rights, title, and interest in and to the XPixel FZE Services, including any and all copyrightable materials or any other content thereof which is or may be subject to any intellectual property rights under any applicable law (including any artwork, graphics, images, website templates and widgets, literary work, source and object code, computer code (including html), applications, audio, music, video and other media, designs, animations, interfaces, documentation, derivatives, methods, products, algorithms, data, interactive features and objects, advertising and acquisition tools and methods, inventions, trade secrets, logos, domains, customized URLs, trademarks, Service marks, trade names and other proprietary identifiers, whether or not registered and/or capable of being registered (collectively, “Intellectual Property”), and any derivations thereof, are owned by and/or licensed to XPixel FZE.

You shall not assign or transfer any of your rights and obligations hereunder without the prior written consent of XPixel FZE. Any attempted or actual assignment thereof without XPixel FZE’s prior explicit and written consent will be null and void.

SEVERABILITY AND WAIVER

If any provision of these Terms and Conditions is deemed by a court of competent jurisdiction to be invalid, unlawful, void, or for any reason unenforceable, then such provision shall be deemed severable and will not affect the validity and enforceability of the remaining provisions. No Waiver of any breach or default of any of the terms of these Terms and Conditions shall be deemed to be a waiver of any preceding or subsequent breach or default.

Any notice from the Customer to XPixel FZE under these Terms and Conditions must be in writing and sent via email to the system address of XPixel FZE at www.xpx360.com

SANCTIONS

XPixel FZE will not provide any Services to individuals and companies owned or controlled by, or acting for or on behalf of, OFAC targeted countries and individuals, groups, and entities, such as terrorists and narcotics traffickers designated under the OFAC programs that are not country-specific.

APPLICABLE LAW

The Terms and Conditions shall be governed and construed in accordance with the laws of the United Arab Emirates and shall be subject to the exclusive jurisdiction of Dubai Courts only
